Confidential Information Agreement
Confidential Information

During your employment, you will have access to confidential, proprietary, and trade secret information of the Company, including information relating to its business operations, technology, customers, finances, and personnel (collectively, Confidential Information). You acknowledge that such Confidential Information is of significant competitive and commercial value to the Company.

Disclosure and Use Restrictions

You agree to:

Treat all Confidential Information as strictly confidential;
Not disclose Confidential Information to any person or entity except as necessary in the performance of your authorized duties for the Company; and
Not use, copy, or remove Confidential Information except as required for your authorized duties or with the Company’s prior written consent.

Nothing in this Agreement restricts disclosures required by law, valid court order, or government regulation, provided such disclosure is limited to what is legally required. Nothing herein restricts your rights under applicable labor laws.

Duration

Your confidentiality obligations commence upon first access to Confidential Information and continue during and after your employment until such information becomes public through no fault of your own.

Proprietary Rights Agreement
Work Product

All works of authorship, inventions, discoveries, developments, improvements, and other work product created by you during your employment and relating to the Company’s business (collectively, Work Product) shall be the sole and exclusive property of the Company.

Work Made for Hire; Assignment

To the extent permitted by law, all copyrightable Work Product shall be deemed work made for hire. To the extent not deemed a work made for hire, you hereby irrevocably assign to the Company all right, title, and interest in such Work Product and all related intellectual property rights worldwide.

Further Assurances; Power of Attorney

You agree to reasonably assist the Company, during and after employment, in securing, maintaining, and enforcing its rights in the Work Product. You hereby grant the Company an irrevocable power of attorney to execute documents on your behalf if necessary to effectuate such rights.

No License

Nothing in this Agreement grants you any license or rights to use the Company’s Confidential Information or intellectual property except as required to perform your duties.

Employment Relationship

Your employment with the Company is at will, meaning either you or the Company may terminate the employment relationship at any time, with or without cause or notice. This at-will relationship may be modified only by a written agreement signed by you and the Company’s Chief Executive Officer.

Outside Activities

During your employment, you may not engage in other employment, consulting, or business activities without the Company’s prior written consent.

Taxes and Withholding

All compensation is subject to applicable federal, state, and local taxes, withholding, and other required deductions.

Miscellaneous
Governing Law

This Agreement will be governed by and construed in accordance with the laws of the State of [State], without regard to conflict-of-law principles.

Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding your employment and supersedes all prior agreements or understandings.

Counterparts

This Agreement may be executed in counterparts, each of which will be deemed an original.

Electronic Delivery

The Company may deliver documents related to this Agreement electronically.
